Tipid Terms and Conditions
Effective Date: June 5, 2026
1. Overview
These Terms and Conditions govern access to and use of the TIPID platform. They apply to the public website, the customer marketplace, seller and merchant tools, administrative interfaces, support channels, promotional communications, and related digital services made available by Tipid.
In these Terms:
Tipid,TIPID,we,our, andusmean the operator of the PlatformPlatformmeans the combined TIPID digital ecosystem, including the marketing site, marketplace, seller interfaces, and related toolsUser,you, andyourmean any visitor, shopper, seller, merchant, store representative, or account holder using the Platform
By accessing or using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.
2. Platform Role
TIPID operates a marketplace platform that helps shoppers discover and buy products from independent sellers and helps sellers manage listings, stores, and orders. The Platform is intended to support marketplace discovery, transactions, operational coordination, and related customer and seller workflows.
Unless TIPID expressly states otherwise in writing, TIPID:
- provides marketplace and administrative technology
- facilitates store discovery, listings, checkout, account tools, and communications
- may assist with onboarding, trust and safety review, payment routing, support, and dispute handling
Unless TIPID expressly states otherwise in writing, TIPID does not:
- manufacture products
- guarantee the quality, legality, availability, or safety of all listed goods
- guarantee seller, courier, or third-party performance
- take title to every listed good
- act as merchant of record for every transaction
Transactions on the Platform may involve independent sellers, store operators, shoppers, delivery providers, payment providers, and other third parties.
3. Eligibility
To use the Platform, you must be legally capable of entering binding arrangements and using the Platform lawfully. You must also provide accurate information when requested and comply with Platform rules and applicable law.
In particular, you must:
- be at least 18 years old, or use the Platform only under the supervision of a parent or legal guardian where legally permitted
- have legal capacity to enter binding agreements
- provide accurate, current, and complete information when requested
- comply with applicable laws and Platform policies
If you use the Platform on behalf of a business or organization, you represent that you have authority to bind that entity.
4. Accounts and Security
Some Platform features require registration. You are responsible for maintaining the confidentiality of your account credentials, controlling access to your devices and sessions, and keeping your information current so the Platform can function as intended.
You are responsible for:
- maintaining account confidentiality
- controlling access to your credentials and devices
- keeping your profile and contact details current
- notifying TIPID promptly of suspected fraud, unauthorized access, or misuse
You are responsible for activity under your account unless caused solely by TIPID's failure to use reasonable safeguards. TIPID may suspend, restrict, or terminate accounts that are misleading, incomplete, unlawful, risky, abusive, or in breach of these Terms.
5. Acceptable Use
The Platform must be used lawfully, honestly, and in a way that does not interfere with marketplace integrity or the rights of others. Users must not misuse the Platform, its systems, its communications tools, or other users' information.
You must not use the Platform to:
- violate law or regulation
- infringe intellectual property, privacy, publicity, or other rights
- submit deceptive, false, or fraudulent information
- interfere with Platform integrity, security, or availability
- upload malicious code or harmful content
- manipulate listings, traffic, prices, promotions, reviews, or orders
- harass, threaten, or abuse any person
- attempt unauthorized access to accounts, systems, or data
- facilitate sanctions evasion, money laundering, or unlawful financial activity
TIPID may investigate misuse and cooperate with regulators, law enforcement, payment providers, and affected parties where appropriate.
6. Shopper Terms
Shoppers may browse stores, listings, pricing, offers, and availability through the Platform. When you place an order, you are making an offer to purchase based on the information shown in the relevant purchase flow.
By placing an order, you confirm that:
- your billing, shipping, pickup, and contact details are accurate
- you are authorized to use the selected payment method
- your order is for a lawful purpose
Orders may be accepted, rejected, delayed, limited, or cancelled for legitimate business, legal, payment, or operational reasons, including:
- inventory shortages
- pricing or content errors
- store or fulfillment limitations
- address or delivery-zone issues
- suspected fraud, abuse, or legal risk
- inability to complete payment authorization
TIPID does not guarantee that every submitted order will be accepted or fulfilled.
7. Seller and Merchant Responsibility
Sellers, merchants, and store operators using the Platform are responsible for their own business operations and must comply with these Terms, the Seller Agreement, onboarding requirements, fee schedules, and Platform policies. TIPID may request information or supporting documents at any time for onboarding, verification, compliance, payout review, fraud prevention, or trust and safety purposes.
Sellers are responsible for:
- lawful business operations
- required licences, permits, and registrations
- listing accuracy, pricing accuracy, and stock accuracy
- product quality, safety, labeling, ingredients, allergens, and legal compliance
- fulfillment, delivery readiness, customer service, and store-level dispute response
8. Listings and Marketplace Content
Sellers are solely responsible for their listings, including the information, images, warnings, pricing, stock data, and restrictions attached to those listings. Listings must be accurate, current, and not misleading in a material way.
Listings must not:
- be false, deceptive, or materially incomplete
- violate law or regulation
- misstate ingredients, allergens, expiry, origin, quantity, or condition
- infringe third-party rights
- advertise prohibited or unauthorized goods
TIPID may refuse, edit, remove, suspend, or restrict listings where reasonably necessary to protect users, comply with law, or preserve marketplace integrity.
9. Prohibited and Restricted Goods
The Platform must not be used to offer, sell, distribute, or promote prohibited goods or unlawful activity. This restriction exists to protect shoppers, sellers, TIPID, and the public from safety, fraud, and compliance risk.
Prohibited or restricted categories may include:
- illegal drugs and controlled substances
- counterfeit, stolen, or pirated goods
- weapons, explosives, or hazardous materials
- unlawfully sold alcohol, tobacco, vape, or cannabis-related goods
- unauthorized pharmaceuticals, medical, or regulated health goods
- expired, unsafe, adulterated, unlabeled, or recalled food products
- any product requiring authorization, permits, or disclosures that the seller does not hold or provide
TIPID may remove listings or suspend accounts without prior notice where safety, fraud, or compliance risk exists.
10. Pricing, Fees, Taxes, and Price Transparency
TIPID will present pricing in a fair and transparent manner. Mandatory non-government charges must be disclosed to customers before they complete checkout. Nothing in these Terms authorizes deceptive or misleading pricing practices.
Unless otherwise clearly stated:
- sellers determine product prices for their listings
- taxes imposed by law may be added where applicable
- optional services selected by a customer may affect the total payable amount
For shoppers, displayed prices may change before order confirmation, and applicable taxes plus clearly disclosed delivery or optional service charges will appear during the purchase flow.
For sellers, TIPID may offer standard pricing plans, promotional plans, negotiated enterprise plans, or custom commercial arrangements. Unless a separate written commercial schedule applies, the current standard pricing framework includes:
- subscription fees of
CAD 13monthly,CAD 60semi-yearly, andCAD 90yearly - a marketplace commission of
3%on each order
A separate signed commercial agreement or approved plan may override the standard pricing framework for a particular seller. TIPID may revise plans, fees, or billing structures on reasonable prior notice.
11. Payments
Payments are currently processed through Stripe and related TIPID payment workflows. By submitting payment information or completing a transaction, you authorize the applicable charge to your selected payment method and agree to any applicable third-party payment terms.
You also acknowledge that:
- the applicable charge may be submitted for authorization and settlement
- Stripe's terms and policies may apply to the payment process
- TIPID does not intend to store full payment card details unless expressly disclosed otherwise
TIPID may delay, block, reverse, or refuse transactions where fraud, chargeback, legal, or compliance concerns exist.
12. Delivery, Pickup, and Fulfillment
Delivery and pickup timing is estimated only unless TIPID or the seller expressly guarantees otherwise in writing. Delivery and fulfillment may depend on store readiness, courier conditions, weather, inventory, customer instructions, and other operational factors.
TIPID is not responsible for delay, spoilage, failed delivery, or non-delivery caused by:
- seller delay or stock failure
- courier or third-party delivery issues
- weather, traffic, service outages, or force majeure events
- inaccurate customer instructions or address details
- inability to reach the recipient
Risk of loss transfers according to applicable law, the seller's lawful fulfillment terms, or at confirmed pickup or delivery, whichever validly applies.
13. Returns, Refunds, Order Issues, and Chargebacks
Returns and refunds are subject to applicable law, product type, seller-specific policies where lawful, TIPID marketplace policies, and payment-provider rules. TIPID may support dispute resolution, but outcomes may differ depending on the facts, the goods involved, and any legal obligations that apply.
At a minimum, TIPID may review and support resolution for claims involving:
- incorrect items
- missing items
- spoiled, expired, unsafe, or materially defective items
- orders not delivered where delivery was confirmed and paid for
- significant shortfalls in what was promised versus what was supplied
Some products may be non-refundable or subject to limited remedies, including:
- perishable goods
- opened food or consumables
- personalized goods
- goods that cannot be safely returned or resold
Nothing in these Terms limits non-waivable consumer rights under applicable law, including rights that may arise under the Ontario Consumer Protection Act, 2002 where applicable. TIPID may request evidence, timelines, and cooperation from shoppers and sellers before resolving a claim. Abuse of refund or chargeback processes may result in account action.
14. Promotions, Coupons, and Credits
Promotions, coupons, credits, referral offers, and discount codes are governed by the terms stated with the relevant offer. Promotional benefits may be limited by time, geography, inventory, store participation, customer eligibility, or other stated conditions.
Unless otherwise stated:
- promotions may be limited by time, geography, account type, inventory, or store participation
- they have no cash value
- they may be cancelled for misuse, fraud, or technical error
- they may not be combined except where expressly allowed
TIPID may correct obvious promotional mistakes, including accidental discount or pricing errors, to the extent permitted by law.
15. Reviews, Ratings, and User Content
If you submit reviews, ratings, messages, feedback, photos, or other content, you remain responsible for what you submit. Your submissions must be truthful where factual statements are made and must not violate law or third-party rights.
By submitting content, you confirm that:
- your submission is truthful and, where applicable, based on real experience
- you have the right to submit it
- it does not violate law or third-party rights
You grant TIPID a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, adapt, moderate, and distribute such content for Platform operation, customer support, dispute handling, trust and safety review, and marketing related to the Platform. TIPID may moderate or remove content where reasonably necessary.
16. Intellectual Property
The Platform and its original content, software, branding, design, logos, graphics, and related materials are owned by TIPID or its licensors and protected by law. Use of the Platform does not transfer ownership of those rights to you.
Except as expressly permitted in writing, you must not:
- copy, reproduce, scrape, sell, or redistribute Platform content
- reverse engineer or interfere with the Platform
- use TIPID branding, trade dress, or trademarks in a misleading or unauthorized way
17. Third-Party Services
The Platform may include tools or links operated by third parties, including payment providers, delivery partners, maps, analytics, and communications tools. Those services are governed by their own terms and policies, and TIPID is not responsible for their content, systems, availability, or acts or omissions.
18. Privacy
Use of the Platform is also governed by the TIPID Privacy Policy. By using the Platform, you acknowledge that TIPID may collect, use, disclose, and retain information as described there and as permitted by law.
19. Marketing Communications
If you opt in to receive newsletters or promotional messages, TIPID may send marketing communications related to the Platform, participating sellers, store discovery, marketplace news, products, and services. TIPID will provide legally required sender identification and unsubscribe tools where required by law.
Where required by law, TIPID will provide:
- clear sender identification
- an unsubscribe mechanism in commercial electronic messages
- processing of unsubscribe requests within the time required by applicable law
Transactional or service-related messages, including order confirmations, payment notices, security notices, privacy requests, or legal notices, may still be sent where permitted by law even if you unsubscribe from non-essential marketing communications.
20. Suspension and Termination
TIPID may suspend, restrict, remove, or terminate access to the Platform, listings, accounts, payouts, or services where it reasonably determines that continued access would create legal, operational, safety, fraud, trust, or abuse concerns.
Grounds for action may include:
- breach of these Terms or another policy
- fraud, abuse, legal, safety, or trust concerns
- failure to provide required information or verification
- risk of harm to users, sellers, TIPID, or third parties
Termination does not affect accrued rights, obligations, fees, liabilities, or ongoing investigations arising before termination.
21. Statutory Rights
Nothing in these Terms is intended to waive, limit, or exclude any right or remedy that cannot lawfully be waived, limited, or excluded under applicable law.
Where the Ontario Consumer Protection Act, 2002 or another consumer-protection law applies, those statutory rights and remedies continue to apply despite anything else in these Terms.
22. Disclaimers
To the maximum extent permitted by law, the Platform is provided on an as is and as available basis. While TIPID works to operate the Platform responsibly, marketplace activity depends on multiple parties and changing circumstances.
TIPID does not guarantee that:
- the Platform will always be uninterrupted, secure, or error-free
- listings, pricing, descriptions, inventory, and content will always be complete or accurate
- sellers, shoppers, couriers, or third parties will always perform as expected
- the Platform will meet every user's particular expectations or business objectives
23. Limitation of Liability
To the maximum extent permitted by law, TIPID and its affiliates, officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the Platform.
This includes, without limitation:
- loss of profits
- loss of revenue
- loss of business
- loss of goodwill
- loss of data
To the maximum extent permitted by law, TIPID's aggregate liability arising out of or related to the Platform will not exceed the greater of:
- the total amount you paid directly to TIPID in the 12 months before the event giving rise to the claim
CAD 100
Nothing in this section excludes liability that cannot lawfully be excluded.
24. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless TIPID and its affiliates, officers, directors, employees, contractors, and agents from and against claims, damages, losses, liabilities, judgments, costs, and expenses, including reasonable legal fees, arising out of or related to your breach of these Terms, your unlawful conduct, your listings or products, or your violation of third-party rights.
This section does not require a consumer to indemnify TIPID for TIPID's own unlawful conduct or gross negligence to the extent such allocation would be unenforceable.
25. Governing Law and Forum
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Subject to mandatory law, disputes arising from or relating to these Terms or the Platform will be brought before the courts located in Ontario, Canada. TIPID may seek injunctive or protective relief in any court of competent jurisdiction where reasonably necessary to protect its systems, users, business, or rights.
26. Changes to These Terms
TIPID may update these Terms from time to time. The updated version becomes effective when posted, unless a later date is stated.
Where required by law or where a change is material, TIPID may provide additional notice by website notice, email, account notice, or another reasonable method. Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms, subject to any rights you may have under applicable law.
27. General
If any provision is held invalid or unenforceable, the remaining provisions continue in force to the maximum extent permitted by law. TIPID's failure to enforce a provision is not a waiver of that provision.
You may not assign your rights or obligations under these Terms without TIPID's prior written consent. TIPID may assign these Terms in connection with financing, restructuring, merger, sale, or transfer of business.
These Terms, together with documents expressly incorporated by reference, form the entire agreement between you and TIPID regarding the Platform.
