Tipid Seller Agreement

Effective Date: June 5, 2026

1. Overview

This Seller Agreement governs participation by sellers, merchants, store owners, and other commercial partners on the TIPID platform. It applies to onboarding, store management, listings, order management, payment-related workflows, seller support, and related operational tools.

By applying as a seller, activating a store, listing products, accepting orders, or otherwise using TIPID seller tools, you agree to this Seller Agreement, the TIPID Terms and Conditions, and any applicable policies, onboarding materials, fee schedules, payout rules, or signed commercial arrangements.

2. Seller Relationship

TIPID provides marketplace, administrative, and operational technology that enables your business to present stores, listings, and transactions to shoppers. Your use of the Platform does not transfer your operational obligations to TIPID unless TIPID expressly agrees otherwise in writing.

Unless TIPID expressly agrees otherwise in writing:

  • you remain the seller of record for your listed goods
  • you remain responsible for your business operations, store performance, and legal compliance
  • TIPID does not purchase your inventory or take title to listed goods solely because they appear on the Platform

3. Eligibility and Onboarding

To become or remain a seller, you must be legally authorized to operate your business and must provide the information TIPID reasonably needs to assess your eligibility, verify your identity, and maintain marketplace compliance.

You must:

  • be legally authorized to operate your business
  • provide complete and accurate onboarding information
  • maintain all required permits, licences, registrations, and tax obligations
  • complete verification and compliance checks required by TIPID

TIPID may request or re-request documents including:

  • business registration records
  • government-issued identification
  • tax registration details
  • proof of address
  • food handling, health, or safety permits where applicable
  • import, product, or regulatory documentation
  • banking and payout details

Failure to provide requested information may result in delayed onboarding, listing restrictions, payout holds, suspension, or termination.

4. Store and Account Responsibilities

You are responsible for your seller account, your staff access, your operational data, and the overall integrity of how your store is managed on the Platform. This includes protecting account access and ensuring authorized use of seller tools.

You are responsible for:

  • keeping account, contact, and store details current
  • controlling and protecting seller credentials
  • limiting staff and contractor access to authorized persons
  • promptly revoking access when no longer required
  • ensuring all activity under your account is authorized and lawful

You must notify TIPID promptly of suspected unauthorized access, fraud, or security compromise.

5. Listings and Product Information

You are solely responsible for each listing you publish or maintain, including the accuracy of product descriptions, warnings, pricing, stock levels, restrictions, and compliance-related information. Listings must remain current and must not create a misleading impression for customers.

You are responsible for:

  • product names, descriptions, prices, quantities, and availability
  • ingredients, allergens, warnings, and required disclosures
  • images, labels, country-of-origin claims, and packaging claims
  • inventory counts, substitutions, and restrictions
  • whether the item may be sold, transported, or delivered lawfully

TIPID may review, reject, edit, remove, or restrict listings that create legal, safety, fraud, policy, or quality concerns.

6. Prohibited and Restricted Products

You must not list, promote, or sell goods that are illegal, unsafe, recalled, counterfeit, stolen, or otherwise prohibited by law or TIPID policy. This rule applies regardless of whether the issue arises from the nature of the goods, the absence of required authorization, or the way the goods are marketed or delivered.

Prohibited or restricted categories may include:

  • narcotics or controlled substances
  • counterfeit, pirated, or stolen goods
  • weapons, explosives, or hazardous materials
  • regulated goods sold without required authorization
  • expired, unsafe, adulterated, or unlabeled food items
  • products that infringe third-party rights

TIPID may remove products and take account action without prior notice where risk exists.

7. Orders and Fulfillment

You are responsible for accepting, rejecting, processing, preparing, and fulfilling orders in accordance with Platform workflows, your customer commitments, and applicable law. You must operate in a way that supports reliable customer experience and marketplace trust.

You must:

  • maintain reasonably accurate inventory
  • fulfill accepted orders in a timely manner
  • communicate material delays, substitutions, or stock issues promptly
  • package goods appropriately for pickup or delivery
  • honor confirmed orders unless cancellation is reasonably necessary

Repeated order defects, late fulfillment, excessive cancellations, missing items, serious customer complaints, or operational failures may result in warnings, listing restrictions, payout holds, suspension, or termination.

8. Pricing, Taxes, and Fees

You are responsible for setting accurate prices and applying taxes correctly where required by law. TIPID may offer standard plans, negotiated plans, promotional plans, or custom commercial arrangements depending on seller needs and marketplace arrangements.

Unless a different written commercial arrangement applies, the current standard pricing framework includes:

  • subscription fees of CAD 13 monthly, CAD 60 semi-yearly, and CAD 90 yearly
  • a marketplace commission of 3% on each order

If you and TIPID agree to different commercial terms in writing or through an approved seller plan, those terms may override the standard framework for your account.

TIPID may change plans, fees, billing structures, or deductions on reasonable prior notice. You authorize TIPID to charge, deduct, or collect sums validly owed by you, including:

  • subscription fees
  • commissions
  • refunds and refund adjustments
  • chargebacks and dispute losses
  • penalties or offsets arising under Platform policy or your signed commercial arrangement

9. Payments, Payouts, Reserves, and Holds

Customer payments are currently processed through Stripe or TIPID workflows connected to Stripe. TIPID may collect or route payments, calculate commissions and other charges, issue statements or payout summaries, and offset valid adjustments against future payouts.

Unless a separate payout schedule applies, TIPID may determine payout timing, payout batching, reserve treatment, and payout review periods in its reasonable discretion, acting in good faith and in line with Platform risk and operational requirements.

TIPID may delay, reserve, reduce, suspend, or hold payouts where reasonably necessary for:

  • fraud review
  • refund or chargeback exposure
  • legal or regulatory review
  • incomplete verification
  • policy breaches
  • product safety issues
  • operational or reputational risk

Where practicable and legally appropriate, TIPID will provide a brief explanation for a material payout hold or restriction.

You remain responsible for refunds, chargebacks, taxes, penalties, and liabilities arising from your business, products, listings, or fulfillment.

10. Customer Service, Refunds, and Disputes

You must respond reasonably and in good faith to customer complaints, order issues, refund requests, and dispute inquiries affecting your store. TIPID may intervene where needed to protect customers, preserve marketplace trust, enforce policy, resolve operational deadlocks, or comply with legal obligations.

TIPID may intervene to:

  • protect customers
  • preserve marketplace trust
  • enforce Platform policy
  • resolve operational deadlocks
  • comply with legal obligations

Where TIPID intervenes, you agree to provide requested records and cooperate in good faith.

11. Compliance with Law

You represent and warrant that your business and its activities on the Platform comply with applicable law. This includes compliance relating to products, taxes, safety, advertising, labeling, consumer obligations, and import or distribution requirements.

You represent and warrant that:

  • your business is validly organized and authorized to operate
  • you comply with applicable Canadian federal, provincial, and local laws
  • your products, labeling, advertising, and fulfillment comply with health, safety, import, consumer, advertising, and tax requirements
  • you will not use TIPID for deceptive, abusive, or unlawful conduct

You are solely responsible for obtaining legal, tax, regulatory, and industry-specific advice relevant to your business.

12. Seller Content and Intellectual Property

You grant TIPID a non-exclusive, worldwide, royalty-free licence to use, host, display, reproduce, distribute, adapt, and publish your store name, logos, listing content, images, and promotional materials for marketplace operation and related business purposes.

This licence may be used for:

  • operating the Platform
  • displaying your listings to customers
  • search and discovery
  • marketing and promotion related to the Platform
  • support, trust and safety, and dispute handling

You represent that you have all rights necessary to grant this licence and that your content does not infringe third-party rights.

13. Customer Data and Privacy

Seller use of the Platform is subject to the TIPID Privacy Policy and any seller data-handling instructions communicated by TIPID. Customer information obtained through TIPID may only be used for legitimate Platform-related purposes tied to the transaction or related support and compliance needs.

Permitted uses include:

  • order fulfillment
  • delivery or pickup coordination
  • customer service
  • refund handling
  • compliance and dispute response

You must not misuse, resell, scrape, profile beyond authorized purposes, or otherwise exploit customer data.

14. Platform Integrity

TIPID expects sellers to participate honestly and in a way that preserves the integrity of marketplace metrics, pricing, customer communications, and platform security.

You must not:

  • manipulate ratings, reviews, or metrics
  • route transactions off-platform to avoid fees where Platform rules prohibit it
  • misuse discount codes, promotions, or credits
  • create deceptive or duplicate stores or listings
  • interfere with Platform security, availability, or data integrity

15. Suspension, Restriction, and Termination

TIPID may suspend, restrict, remove, or terminate your store, listings, account access, or payout access where TIPID reasonably determines that continued participation creates unacceptable risk or violates marketplace rules.

Grounds for action may include:

  • breach of this Agreement or another policy
  • legal, fraud, safety, operational, or reputational risk
  • missing verification or compliance information
  • serious customer harm, repeated service failures, or chargeback exposure
  • marketplace trust and safety concerns

Where reasonably practicable and appropriate, TIPID will provide notice of the issue and an opportunity to cure before termination, except where immediate action is reasonably necessary for fraud, safety, legal compliance, or similar urgent concerns.

You may request account closure, subject to settlement of outstanding orders, fees, reversals, payouts, disputes, and legal recordkeeping obligations.

16. Disclaimers

To the maximum extent permitted by law, TIPID provides seller tools and services on an as is and as available basis. The Platform may evolve over time, and TIPID does not guarantee that every feature, integration, or business outcome will remain constant or available.

TIPID does not guarantee:

  • uninterrupted access
  • error-free operation
  • minimum sales volume
  • customer demand
  • market growth
  • marketing performance
  • continued availability of every feature or integration

17. Limitation of Liability

To the maximum extent permitted by law, TIPID and its affiliates, officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to this Agreement or the Platform.

This includes, without limitation:

  • lost profits
  • lost revenue
  • lost business opportunity
  • loss of goodwill

To the maximum extent permitted by law, TIPID's aggregate liability arising out of or related to this Agreement will not exceed the greater of:

  • the total amount paid by you directly to TIPID in the 12 months before the event giving rise to the claim
  • CAD 100

Nothing in this Agreement excludes liability that cannot lawfully be excluded.

18. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless TIPID and its affiliates, officers, directors, employees, contractors, and agents from and against claims, losses, liabilities, damages, penalties, judgments, settlements, and expenses, including reasonable legal fees, arising from or related to your store operations, your products, your content, your conduct, your breach of this Agreement, or your violation of law or third-party rights.

This includes claims arising from:

  • product defects
  • contamination
  • illness or injury
  • recalls
  • product non-compliance

19. Governing Law and Forum

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Subject to mandatory law, disputes arising out of or related to this Agreement will be brought before the courts located in Ontario, Canada.

20. Changes to This Agreement

TIPID may update this Seller Agreement from time to time. The updated version becomes effective when posted, unless a later date is stated.

Where appropriate, TIPID may provide additional notice by email, seller dashboard notice, or another reasonable method. Continued use of seller tools after the effective date of an updated Agreement constitutes acceptance of the revised terms, subject to any rights required by law or a separate signed commercial arrangement.
